1.Choose your accountantPick an accountant before you start. They help with the documents and set up your books from day one.
2.Choose a company namePrepare two or three options. The notary checks in the court register that the name is free.
3.Have the founding act drawn upThe notary prepares the founding decision for one founder, or the founding contract for several.
4.Pay in the share capitalAt least 1,000 KM in total, with at least half paid in cash into a bank account before you file.
5.Register with the courtFile the documents with the municipal court register and pay the court fee. You receive the registration decision (rješenje).
6.Make the company sealOrder the seal once you hold the registration decision.
7.Get your statistical ID and activity codeApply for the statistical registration that assigns your activity code.
8.Open a business bank accountYou need a transaction account for payments and payroll.
9.Register with the tax authoritiesRegister the company with the Tax Administration, and for VAT if you expect to pass the 100,000 KM threshold.
10.Register your employeesIf you hire staff, register them for insurance (form JS3100) before they start work.
11.Set up fiscalizationIf you sell to consumers you need a fiscal cash register.

How long does registration take?

For a d.o.o. the court registration alone typically takes a few weeks once the complete documents are filed, and you can only start trading when you hold the registration decision. An obrt is registered at the municipal service and usually takes less time.
